This Opportunity:
Palladium Impact Capital (PIC) is a leading and fast growing impact investment bank creating solutions, mobilizing, raising capital and advising companies and investors to address the world’s most pressing challenges. PIC joined Palladium in 2018 to combine strengths at the intersection of impact investing, international development and strategy consultancy. Palladium, through its 50 years of experience and a global network operating in over 90 countries, has been helping clients to formulate strategies, build partnerships, and implement programs that have a lasting social and financial impact.
PIC is a team of 20 corporate finance, investment banking and impact investing professionals, based broadly in London and New York, advising private companies and entrepreneurs, development finance institutions, foundations, and institutional investors in tackling global and local problems that require creative, hands-on and people-focused approaches to mobilising equity and debt capital to unlock positive impact. There is increasing urgency to direct financial and human capital towards social inclusion, and justice and environmental regeneration and fair governance, and we are looking for resourceful, purpose-driven people to join our flat and rapidly growing team. We are working with mission-driven companies and investors from across the world, with the majority of our clients based in or focused on emerging markets, and in a wide array of sectors of the impact economy but with a primary focus on financial inclusion, climate action, sustainable agriculture, renewable energy and tech-enabled businesses scaling impactful solutions in emerging markets. Within Palladium, PIC focuses on three broad sets of services:
Capital Raising. PIC structures, negotiates and executes transactions to raise equity or debt capital for impact funds and facilities, mission-driven financial institutions, and social enterprises. Leveraging our knowledge of emerging and frontier markets and through an impact lens, we work closely with clients to frame and promote investment propositions to a strong, relevant, and values-based global investor network as well as to a growing segment of mainstream investors targeting investing in impact and ESG. Sensitive to the needs of all stakeholders, we secure mission-aligned investors that bring the right blend of capital and other support to propel clients forward.
Capital Strategy and Structuring. In structuring and implementing investment transactions, our focus is on ensuring alignment of objectives between the investor and the investee. A particular area of focus is the design and structuring of investment vehicles for sponsors wishing to solve specific social and environmental problems with investment capital. We create funds and other vehicles starting from the identification of the problem, and design a practical and market investable solution around that problem, whilst using our market knowledge and networks to ensure relevance to the investor audience.
Mergers & Acquisitions. PIC originates M&A mandates and structures, negotiates, and executes sell-side and buy-side M&A transactions on behalf of its clients. We have in-depth years of experience designing and executing on transactions as a trusted inner circle M&A advisor for our clients. We run Responsible Exit mandates, which reflect mission preservation without compromising the value maximization objectives of our clients. PIC has executed multinational transactions throughout sub-Saharan Africa and South and South-East Asia.
The Associate Director will manage transaction advisory and capital raising mandates, both in origination and execution. She or he will be expected to lead the delivery of a wide range of client facing engagements, which include equity as well as debt capital structuring, capital raising mandates at the company and fund level, M&A mandates and transaction related services. The role will also contribute to strengthening Palladium Impact Capital practice infrastructure and systems.

Reporting and Supervision:
This position reports to the Director, Capital Advisory.
Primary Duties and Responsibilities:
Project Execution
Overall transaction and client management
Client relationship management as the primary point of contact with clients
Managing the transaction team of associates and analysts and ensuring quality on all client deliverables
Setting and managing all phases of transaction timetables with clients and coordinating with lawyers, technical advisors, consultants and accountants
Managing transaction cost in relation to a budget and monitoring invoicing and collections in respect of fees and expenses
Transaction mandate execution in all phases, from design and structuring, marketing, negotiation to closing transactions
Managing investor and strategic buyers lists, outreach, tracking feedback and driving investor meetings
Drafting presentation materials, logistics management and issue identification/ resolution
Managing the preparation of Information Memoranda, financial models and data room
Coordinating internal and external transaction teams including lawyers, accountants and consultants
Liaising with and advising clients on transaction strategy including tactics, deal structuring, negotiation strategy and providing insight on specific strategic issues
Managing term sheet and transaction documentation and negotiation through to transaction closing
Managing the engagement team and external parties such as legal counsel
Business Development and Practice Building
Business building
Sourcing prospective client relationships and cultivating investor networks, both directly and through relationships within the Palladium Group
Participating in, and leading, on-going internal coordination and planning meetings
Building Palladium Impact Capital marketing materials, creating and delivering proposals/ pitch documents
Developing thought leadership on relevant investing themes, product innovation and transaction design
Representing Palladium Impact Capital at industry conferences and convenings
Practice building
Improving internal materials, processes and tools that support growth of the practice
Contributing to the knowledge and relationship base of the team
Taking responsibility for one or more internal team functions (e.g. recruiting, training, people development, compliance, finances)
Key Competencies Required:
Investment banking transaction experience in one of the following: M&A/corporate finance/restructuring/capital markets at an advisory boutique or investment bank, private equity, development finance, venture capital, transaction services at an accounting firm
See impact investing as a means to shift the paradigm and use the power of finance and capital markets to solve the most pressing issues of the world and transform the world of finance to work better for the world

Professional Expertise/Competencies Preferred:
Familiarity with one or more of Palladium’s core markets, which include financial inclusion, climate action, renewable energy, sustainable agriculture and tech-enabled businesses scaling impactful solutions in emerging markets
